ADEXPERTT does not guarantee that any third-party platform will:

Approve a particular advertisement
Maintain an account without restrictions
Maintain a specific advertising cost
Maintain a particular level of traffic
Remain available without interruption
Maintain existing policies or functionality
Clients must comply with the applicable terms, policies, advertising standards, and requirements of third-party platforms.
Advertising Budget
Advertising spend paid to third-party platforms is generally separate from ADEXPERTT's management or service fees unless otherwise agreed in writing.
Examples of advertising platforms may include Google, Meta, LinkedIn, TikTok, Amazon, or other platforms.
ADEXPERTT may assist with campaign setup, optimisation, monitoring, and recommendations, but the client remains responsible for the approved advertising budget unless otherwise agreed in writing.
ADEXPERTT does not guarantee that an advertising platform will spend exactly the amount planned for a particular day or period.
Performance Disclaimer
Digital marketing performance depends on numerous factors, many of which are outside ADEXPERTT's control.

Client Responsibilities
To enable ADEXPERTT to provide services effectively, the client agrees to provide accurate and timely information, materials, approvals, and access reasonably required for the engagement.

Logos and creative assets
Product images and videos
Customer or audience information where legally permitted

Approvals and feedback
The client is responsible for ensuring that all information and materials provided to ADEXPERTT are accurate, lawful, and authorized for use.
Delays in providing required information or approvals may affect campaign timelines and performance.
Client Content and Advertising Claims
The client remains responsible for the accuracy, legality, and substantiation of claims relating to its:
Products
Services
Pricing
Offers
Guarantees
Certifications
Testimonials
Medical or health claims
Financial claims
Product specifications
Regulatory statements
ADEXPERTT may assist with advertising copy, creative recommendations, and marketing strategy, but the client is responsible for confirming that claims relating to its products or services are accurate and legally permissible.
Where appropriate, ADEXPERTT may request client approval before publishing advertising materials.
Prohibited or Restricted Activities
ADEXPERTT reserves the right to refuse or discontinue services involving products, services, businesses, or activities that we reasonably believe:
Violate applicable law
Violate advertising-platform policies
Involve fraud or deception
Involve misleading advertising
Infringe third-party intellectual property
Create unreasonable legal or regulatory risk
Involve prohibited goods or services
Present significant reputational or security risks
The fact that ADEXPERTT agrees to provide services does not constitute legal, regulatory, financial, medical, or other professional approval of the client's business or products.
Payments and Fees
Fees will be communicated through the applicable proposal, quotation, invoice, service agreement, or other commercial document.
Unless otherwise agreed:
Fees are payable according to the agreed payment schedule.
Taxes and applicable government charges may be additional.
Third-party advertising costs are separate from agency fees unless expressly stated otherwise.
The client is responsible for providing accurate billing information.
Late payments may result in suspension of services.
ADEXPERTT reserves the right to pause campaigns or services where invoices remain unpaid beyond the agreed payment period.
Cancellation and Termination
Either party may terminate an engagement in accordance with the applicable service agreement.
Where no separate termination provision has been agreed, either party may request termination by providing reasonable written notice.
ADEXPERTT may suspend or terminate services immediately where:
The client fails to make required payments
The client provides misleading or unlawful information
The client requests activity that violates applicable law or platform policies
The client materially breaches these Terms
Continuing the engagement creates significant legal, security, or reputational risk
Upon termination, the client remains responsible for fees and expenses incurred up to the effective termination date.
Intellectual Property
Unless otherwise agreed in writing:

Pre-existing materials
Templates
Frameworks
Methodologies
Processes
Strategies
Internal tools
Proprietary systems
Know-how
Reports and analytical methodologies

Branding and marketing materials
Client Property
The client retains ownership of materials supplied by the client, including:
Logos
Brand assets
Product information
Images
Videos
Website content
Other materials provided by the client
The client grants ADEXPERTT a limited license to use such materials solely for performing the agreed services.
Deliverables
Ownership or usage rights relating to specific deliverables will be determined by the applicable proposal or service agreement.
Third-Party Intellectual Property
The client is responsible for ensuring that materials provided to ADEXPERTT do not infringe the intellectual property rights of third parties.
This includes images, videos, music, trademarks, text, software, product claims, customer data, and other content.
ADEXPERTT may refuse to use materials where we reasonably believe that their use may infringe third-party rights. Confidentiality
Each party may receive confidential information belonging to the other party during the course of an engagement.

This provision does not apply to the extent that a claim is caused by ADEXPERTT's own unlawful conduct or wilful misconduct.
